· UST and Italdesign will work together to combine their complementary expertise for long-term, sustainable growth

Mumbai, India; 10 December 2025: The Audi Group is entering into a strategic partnership with UST, a global transformation company specializing in AI-powered technology, design, and engineering. UST, headquartered in Aliso Viejo, California (USA), has signed an agreement to acquire a majority stake in Italdesign. Italdesign’s current parent company Lamborghini is part of the Audi Group and will retain a significant stake. As a result, Audi will remain a strategic partner of Italdesign in the long term, as well as an important client of the company.

The majority takeover of Italdesign by UST creates a strong partnership that combines UST’s expertise in automotive engineering, artificial intelligence, software-defined vehicle development, and digital ecosystem design with Italdesign’s deep knowledge in vehicle and product design, engineering, prototyping, small series production, and automotive electronics. Together, the companies will be able to offer a comprehensive and integrated range of services – from early concept and design to hardware and software development through to production systems. This combined capability is designed to support the development of fully modern, digitally enabled vehicles.

In addition, UST and Italdesign intend to extend this integrated approach to a global scale. UST will enable Italdesign to expand their international presence across UST’s global footprint in over 30 countries. As the new majority owner, UST will assume operational responsibility while honoring and building on Italdesign’s Italian heritage, design culture, and the talent of its employees.

Audi remains an important long-term partner of Italdesign, ensuring continuity and ongoing collaboration in the areas that have shaped Italdesign’s reputation for more than five decades. Italdesign has been part of the Volkswagen Group since 2010. The transaction is subject to regulatory approvals. UST and Audi Group have not disclosed the investment value or other contract details.

Geoffrey Bouquot, Member of the Board of Management for Technical Development at AUDI AG: “For many years Italdesign has been a valued partner in our development network, contributing expertise from design to prototype and series development. We are confident our collaboration will continue to drive success and deliver strong results under the new ownership structure. UST is the ideal partner to strengthen Italdesign’s solid foundation while opening new market opportunities. Together, we aim to ensure that Italdesign remains an innovator in automotive design and engineering.”

Krishna Sudheendra, Chief Executive Officer, UST: “Italdesign has shaped the way the world experiences mobility, and its legacy of design excellence is respected globally. We are grateful for the trust placed in us as we begin this next chapter together. Our role is to support Italdesign’s vision, honor its heritage, and bring new capabilities that help the team continue to grow. We look forward to working side by side with Italdesign and our partners across the Audi Group to help build what comes next.”

Antonio Casu, Chief Executive Officer at Italdesign Giugiaro S.p.A.: “This partnership will bring benefits to all parties involved. It will allow Italdesign to accelerate the expansion of its service portfolio in new markets and achieve deeper penetration in various international markets. Italdesign is aiming to become the first full integrator of hardware and software worldwide, both in the automotive sector and across other high‑technology industrial sectors.”

Gilroy Mathew, Chief Operating Officer, UST: “This acquisition reflects our bold vision to transform the mobility sector by combining Italdesign’s renowned heritage in vehicle design and manufacturing with UST’s expertise in vehicle electronics, embedded systems, and AI. This fusion of iconic design excellence and advanced digital engineering positions us at the forefront of automotive innovation – panning next-generation product design, simulations, vehicle electronics, connectivity, ADAS and hyper-personalization.
Mumbai, 4th November 2025: UST, a leading AI and technology transformation solutions company, has strengthened its presence at the intersection of human-AI interaction with its recent investment in aiOla. Israel-based aiOla is a deep tech voice and conversational AI lab that has built a voice-agentic AI platform that powers workflow agents, converting frontline speech into structured, auditable workflows. The deal follows a successful collaboration initiated and incubated by UST’s open-innovation arm, UST Spark.

With this strategic investment, UST expands its growing technology advantage in next-generation AI solutions. With expertise in frontline intensive verticals such as healthcare and life sciences, retail, manufacturing, and automotive, UST and aiOla are strongly positioned to transform the frontline worker experience in these industries through AI and natural voice-to-system execution. This partnership strengthens aiOla’s ability to bring innovation to market and scale voice-agentic automation in mission-critical settings across a variety of verticals.

So far, enterprises have primarily found success integrating AI into back-office processes. But this has resulted in the collection of more valuable frontline data has lagged because it remains stuck behind unconnected keyboards, clipboards, and fragmented apps. Natural and agentic voice processing efficiently captures this critical frontline data, resulting in superior demand forecasting and richer insights while also reducing costs associated with traditional manual data capture methods.

aiOla is a leader in this emerging field, and its platform turns shorthand data captured through spoken inputs into structured, auditable information. With aiOla, frontline workers can interact with their own systems through voice input in any environment, overcoming background noise, accents, and jargon to work faster, reduce manual errors, and seamlessly capture critical information. This replaces keystrokes with agentic, voice-led workflows that capture triple the data, three times faster. UST invested in aiOla because it is the only voice-to-workflow platform purpose-built for enterprise operations, scaling in jargon-heavy, industry-specific environments, while also adapting to each site’s terminology and enforcing consistent processes across locations.

Because UST is a key strategic partner for Fortune 500 enterprises, the company is well positioned to streamline the rollout of this innovative technology to clients, allowing them to benefit from a holistic approach to products and platforms that support complex work processes.

“At UST, we envision enterprise transformation enabled by AI as the next major leap for business. By integrating advanced voice and conversational AI technologies with our platforms and solutions, we empower frontline workers with seamless, intuitive experiences—automating data capture, accelerating workflows, and optimizing operational efficiency at scale. These capabilities are redefining how work gets done in the field, bringing actionable intelligence and measurable outcomes directly to those who deliver value every day. Our investment in aiOla, aligned with UST’s proven technology ecosystem, reinforces our commitment to delivering the powerful tools enterprises need to transform services, drive innovation, and set new standards for operational excellence,” said Manu Gopinath, President, UST.

“UST is the ideal partner to help bring aiOla’s voice-agentic workflows into the heart of the enterprise. Together, we’re enabling organizations in critical industries like pharmaceuticals and manufacturing to replace manual, error-prone processes with seamless, voice-driven workflows that give teams real-time access to data and processes, unlocking a more efficient and agile way of working at scale,” said Amir Haramaty, President and Co-founder, aiOla.

UST and aiOla did not disclose the investment value.

Strategic move equips UST for further success serving finance and banking clients in emerging markets worldwide

Mumbai, 9th October 2025: UST, a leading AI and technology transformation solutions company, has acquired Modus Information Systems Private Limited (Modus) in a strategic move that will strengthen UST’s position in the financial sector. Based in Bengaluru, India, Modus is a core banking implementation partner that primarily serves several banks in India and across the broader Global South. As banks across the Global South accelerate digital transformation and core modernization, this acquisition positions UST to meet growing demand for scalable, future-ready banking solutions.

This acquisition further strengthens UST’s leadership position in the growing market for core banking software and accelerates the company’s growth strategy by equipping it to serve emerging markets across the Global South. Furthermore, the move aligns with UST’s Banking-as-a-Service utility offering, BanktrUST, and represents a step forward in building a robust global financial services practice.

Modus, with its team of approximately 340 skilled professionals, brings deep expertise in implementing and supporting industry-leading core banking solutions. With a history of success and innovation dating back to 2003, and a Finacle Value Partner, the company’s established partnerships and its proven ability to collaborate with leading platform companies will significantly enhance UST’s ability to deliver comprehensive banking services. By combining UST’s AI and platform engineering strengths with Modus’s deep domain expertise, the company will deliver differentiated value to banking clients worldwide.

“This is a defining moment for Modus. Joining forces with UST enables us to expand our capabilities and bring a broader, more powerful suite of services to our customers. By becoming part of the UST family, Modus will significantly enhance its ability to deliver end-to-end solutions at greater scale, speed, and depth—particularly in key areas such as application services, domain-centric technology solutions, infosec and cybersecurity, platform and hosting services, and system integration. Together, we will deliver greater innovation, agility, and measurable business outcomes,” said KL Mohan Kumar, Chief Executive Officer, Modus.

“India and the rest of the Global South have experienced rapid economic growth for over a decade, and this long-term trend is likely to continue. Banks in these markets have accordingly grown in both scale and absolute numbers. Increasing financial inclusion, coupled with large unbanked and underbanked populations, means that these growth figures will be sustainable in the long term. In addition, the region’s expanding and maturing telecom infrastructure, combined with evolving expectations of banking users and regulatory changes, makes a compelling case for banks to invest in core banking technologies and broader digital transformation initiatives. Modus has been transforming the core banking landscape in India for over two decades. The acquisition of Modus enables UST to holistically address the increased demand that accompanies the growth of the financial industry while maintaining the same high standards for customer experience, efficiency, and regulatory compliance needs. Together, UST and Modus will redefine how banks in emerging markets approach modernization—enabling faster innovation, deeper financial inclusion, and more resilient digital ecosystems,” said Kaushal Tripathi, Chief Growth Officer, UST.
