The Group has appointed Mr. Rakesh Tiwary as the new Group Chief Financial Officer effective December 3, 2025. Amit Agarwal, who has been serving as the Group Chief Financial Officer while supporting several businesses within Raymond Lifestyle Ltd, will now move full-time into the Lifestyle business. He has stepped down as Group CFO effective December 2, 2025.</p>
<p>Rakesh brings more than 25 years of financial leadership experience across sectors including cement, airports, electricity, solar, steel, energy and oil. His background spans strategic financial planning, capital structuring, governance, integration and performance transformation. His prior roles include CFO positions at Adani Cement, Adani Airports, Adani Electricity and Adani Solar, along with leadership roles at JSW Steel, Reliance Industries and Indian Oil Corporation. He is a Chartered Accountant, Cost Management Accountant and holds an MBA degree.</p>
<p>The move reaffirms the group’s ambitions in strengthening the organisation’s financial strategy and governance framework as it continues its transformation journey. To unlock shareholder value and drive focused growth, Raymond has restructured into three independent, pure-play listed entities, each net debt-free. Raymond Lifestyle Limited was listed on September 5, 2024, followed by Raymond Realty Limited on July 1, 2025, while Raymond Limited now focuses on the Engineering business. From fabrics to real estate and now high-precision engineering, the company has expanded into sunrise sectors such as aerospace, defense, and electric vehicle (EV) components. This transformation reflects more than business ambition—it represents a deep commitment to national progress and purposeful innovation.</p>

In a first-of-its-kind initiative, the 3.5-minute film brings to life AI-generated models with realistic human personas, blending technology and emotion into a cinematic narrative that reimagines what storytelling can be for heritage brands.</p>
<p><strong style="font-weight: 600;">The Journey Behind the Film</strong><br />
The ambitious project began on <strong style="font-weight: 600;">August 16, 2025</strong>, when creative agency Marketing Mojito was tasked with transforming Raymond’s vision into a living, breathing AI-driven tribute. From scripting and storyboarding to generating frames, characters, and environments — every aspect was created from scratch. The team worked almost round-the-clock for <strong style="font-weight: 600;">15 days</strong>, pushing through server crashes, rendering errors, and creative hurdles to deliver a cinematic piece that embodied Raymond’s century-long spirit of innovation in time for the iconic event.</p>
<p>The centenary tribute not only honors Raymond’s rich legacy but also signals a bold step into the future, where creativity and technology converge. Even as the brand embraces AI to craft new-age stories, its heart remains anchored in the craftsmanship and values that have defined it for a century.</p>

										<content:encoded><![CDATA[<p><b>Bengaluru, 9th July, 2025:</b> In an endeavor to reaffirm its commitment to give back to the society, Raymond has joined hands with Goonj yet again to launch the 2025 edition of its annual garment exchange initiative, <b>“Look Good Feel Good”</b>. Actor and philanthropist <b>Sonu Sood</b> has been on-boarded this year, to amplify the campaign’s core message &#8211; <i>Clothing, when thoughtfully passed on, can restore dignity to someone else’s life</i>.</p>
<p>The Garment Exchange Program has expanded steadily over the years, which encourages people to contribute wearable clothes they no longer need, and in return, receive free stitching services at select-The Raymond Shops &amp; leading multi-brand outlets.</p>
<p><b>The initiative is live since the 4<sup>th</sup> of July and continues</b><b> till the 27<sup>th</sup> of July</b>, inviting customers to contribute garments in good condition and experience the “Joy of Giving”. These clothes will then be routed through their Campaign partner Goonj’s Circularity Centers, where, after detailed processing, these will become a part of Material kits, provided to rural communities, as dignified reward for their efforts and contribution to solve their own development issues from revival of water bodies to developing bamboo bridges.</p>
<p>One can choose to give garments across categories &#8211; from shirts and trousers to jackets, women&#8217;s and children&#8217;s wear etc. as long as they are in a good condition. Each customer can receive up to 15 stitching vouchers basis the no. of garments exchanged. These vouchers can then be redeemed on stitching charges on purchased Raymond fabrics at the relevant store.</p>
<p>Over the past few years, the response to the <i>Look Good Feel Good</i> initiative has been substantial. In 2024 alone, over <b>4 lakh garments</b> were collected. States like Maharashtra, Gujarat and Delhi saw the highest engagement, a trend Raymond expects to see this year — with increased awareness around mindful consumption and social responsibility.</p>
<p>Speaking about the initiative, Paritosh Tiwari, Raymond Lifestyle Ltd., said, <i>“<b>Look Good Feel Good is not just a mere campaign, it is a reflection of what we stand for. Every garment contributed has the potential to become part of someone else’s story. Over the years, the response has shown us that people want to contribute, all they need is a platform that’s thoughtful and trustworthy. That’s what we aim to provide, in partnership with Goonj.”</b></i></p>

<p><strong>Bengaluru, 7th February, 2025: </strong>Raymond Limited (the “Company”) is pleased to announce that its 100% owned step-down subsidiary, Ten X Realty West Limited, has signed a Joint Development Agreement of a prestigious residential project in the prime location of Mahim West, Mumbai.</p>
<p>This landmark project is estimated to have a revenue potential of approximately Rs. 1,800 crore and marks the Company&#8217;s second venture in this sought-after area of Mumbai. This also represents the 5th project undertaken by the Company outside of its existing developments in Thane, underscoring its strategic expansion within the Mumbai Metropolitan Region (MMR). This project will be the second residential project that the company will be developing in Mahim West, Mumbai.</p>
<p>This significant development aligns with Raymond Limited&#8217;s growth strategy to capitalize on opportunities within the dynamic MMR real estate market. The project is poised to contribute substantially to the Company&#8217;s future growth and solidify its presence as a key player in the region. With addition of this project, the Gross Development Value of Real Estate projects of the company will be close to Rs. 35,000 crores<strong><u>.</u></strong><u></u></p>

<p><strong>Bengaluru, September 3, 2024:</strong> Raymond Lifestyle Ltd. (“RLL”), whose shares will be listed on the bourses on September 5, 2024, is on its way to towards the largest-ever retail expansion by adding 900 new outlets over three years. The Raymond Group’s lifestyle business entity is eyeing a 15% Compounded Annual Growth Rate (CAGR) to attain around 7% market share in the fast growing Men’s-Wear wedding market by 2027.</p>
<p>Raymond, which will now have two listed entities following the demerger of its retail and lifestyle businesses, is focussed on unlocking shareholder value by creating specialised businesses. Backed by a legacy of nearly a century, Raymond enjoys the position as the largest brand in the Indian Men’s-Wear wedding market, estimated at around Rs 75,000 crore. RLL, which is set to emerge among top three global fabric suppliers by the end of this year, has sales of Rs 2550 crore from the wedding business in FY’24, which includes Raymond’s wedding and ceremonial attire and Ethnix, its Indian ethnic wear offering.</p>
<p>Underscoring RLL’s role in further cementing itself in rapidly-expanding lifestyle segment, Mr. Gautam Singhania, Chairman and Managing Director, Raymond Group, said, “The demerger aims at unlocking shareholder value by creating a focussed lifestyle business entity. Raymond Lifestyle will sharpen strategic focus in this fast-growing sector to become among the top three global fabric suppliers by the end of this year. The global scenario presents significant opportunities, particularly the challenges in China and Bangladesh and trade agreements with the UK, EU and Australia.”</p>

<p>As a focussed, pure play consumer business, RLL is pursuing a three-pronged strategic approach of strengthening the core of branded textile, accelerating the growth of apparel garmenting and building new categories such as ethnic wear, inner wear, sleep wear and international retail. RLL is focussed on enhancing the distribution presence in the country and plans to set up over 650 Exclusive Brand Outlets (EBOs) over the next three years.</p>
<p>Speaking about RLL’s growth plans, Mr. Amit Agarwal, Chief Financial Officer, Raymond Group, said, “In the next three years, we anticipate Raymond Lifestyle doubling its EBITDA to over ₹20 billion. We are also looking towards a 12–15% sales growth in the lifestyle sector. <p><strong> </strong><strong>Bengaluru, 6th August, 2024: </strong>Raymond Limited today announced its unaudited financial results for the quarter ended 30th June, 2024. Raymond Limited now includes Real Estate and Engineering businesses, excluding the Lifestyle business, which has been demerged into Raymond Lifestyle Limited.</p>

<p><em> </em>Raymond Limited continues its growth momentum, delivering a robust performance with consolidated quarterly revenue from Real Estate and Engineering business of ₹ 998 Cr, reflecting a 93 % increase compared to the same quarter of the previous financial year, and an EBITDA of</p>
<p>₹162 Cr with an EBITDA margin of 16.2%. In Q1 FY25, the company achieved a strong booking value of ₹ 611 Cr, primarily driven by demand for &#8216;The Addressby GS 2.0&#8217; in Thane and the recently launched JDA &#8216;The Address by GS&#8217; in Bandra.</p>
<p>Raymond Limited completed the acquisition of Maini Precision Products Limited (MPPL) on 29th March 2024. Starting from Q1 FY25, the company has consolidated the performance of its Engineering business to include MPPL. The segment has shown strong performance post-</p>
<p>acquisition, marking Raymond Group&#8217;s entry into the sunrise sectors of Aerospace, Defense, and EV components.</p>

Additionally, our foray into the Aerospace business, following the acquisition of MPPL, is showing promising signs with its strong performance in the first quarter. During the quarter we have successfully demerged Lifestyle business into a separate company that will be listed in Ǫ2FY25.”</em></strong></p>
<p><strong>Q1FY25 Segmental Performance (Post IND AS 116)</strong></p>
<p><strong> <u>Real Estate business: </u></strong>the business showcased strong sales performance, with 108% growth to ₹ 488 Cr in Q1 FY25 from ₹235 Cr in the same quarter of the previous year. Sustained home demand and increased customer confidence in Raymond Realty projects were the quarter&#8217;s highlights, with our committed delivery timelines much appreciated by our customers. The segment reported an EBITDA of ₹ 85 Cr in Q1 FY25 from ₹54 Cr in Q1FY24.</p>
<p><strong><u>Engineering business: </u> </strong>segment reported sales of ₹ 419 Cr in Q1 FY25, doubling revenue compared to ₹209 Cr in the same quarter of the previous year. Revenue for Q1 FY 25 includes revenue from MPPL of ₹220 Cr, which was acquired in March 24. The segment delivered an EBITDA margin of 13.2%.</p>
<p><strong>Strategic Initiatives:</strong></p>
<p>In line with our objective of simplification of group structure, Raymond Limited has initiated the vertical demerger of its Real Estate Business into its wholly owned subsidiary, Raymond Realty Limited (RRL). Upon completion of this demerger, Raymond Ltd and Raymond Realty Limited (RRL) will operate as separate listed entities within the Raymond Group, pending all statutory approvals. The new entity will seek automatic listing on stock exchanges, and according to the scheme of arrangement, each Raymond Ltd (RL) shareholder will receive 1 share of RRL for every 1 share held in Raymond Limited. This strategic move comes as Raymond&#8217;s Real Estate Business has achieved scale, reporting revenue of ₹1,593 Cr (43% YoY growth) and EBITDA of ₹370 Cr in FY24, positioning it well to chart its own growth path as a separate entity.</p>
<p><strong>Lifestyle business operational highlights:</strong></p>
<p><strong> </strong>The demerger of the Lifestyle business was completed on 30th June 2024. The listing of Raymond Lifestyle Limited is expected in the second quarter of this year, and the information pertaining to the operational highlights of the Lifestyle business are below.</p>
<p>During the quarter, our Lifestyle business was impacted due to subdued consumer demand, prolonged heat waves, general elections, fewer wedding dates and inflation, which impacted overall revenue performance and margins.</p>
