										<content:encoded><![CDATA[<p><strong>NEW DELHI.</strong> The Boards of Directors of Power Finance Corporation Limited (PFC) and REC Limited (REC) have approved a Scheme of Merger under the Companies Act, 2013, for the amalgamation of REC into PFC, subject to the approval of shareholders, creditors, regulatory and government authorities, and the condition that the merged entity continues to qualify as a Government Company with the Government of India retaining majority control. The proposed merger will create one of the country&#8217;s largest infrastructure financing institutions with a combined loan book exceeding Rs 11 lakh crore. As per the approved valuation report, REC shareholders will receive 88 fully paid equity shares of PFC of Rs 10 each for every 100 fully paid equity shares of REC of Rs 10 each held on the record date, which will be announced by the Boards of the two companies at a later stage.</p>

										<content:encoded><![CDATA[<p><strong>NEW DELHI.</strong> Power Finance Corporation Limited has achieved a historic milestone by becoming the first Central Public Sector Undertaking and the first non-banking financial company in India to successfully tap the international bond market following the Reserve Bank of India&#8217;s recent announcement of a swap facility in its latest monetary policy statement. The Maharatna infrastructure finance giant raised USD 300 million through a senior unsecured dollar-denominated bond issuance under the Reg S route. The five-year bonds were priced at 105 basis points over the benchmark five-year US Treasury, securing a fixed coupon of 5.32% per annum amidst robust demand from major European and Asian markets.</p>
<p>Reflecting on the achievement, Power Finance Corporation Chairman and Managing Director, Ms.  Parminder Chopra expressed satisfaction at leading the public sector response to the central bank&#8217;s new facility. She noted that the successful issuance directly supports the Government of India&#8217;s broader objective to attract foreign capital into the country&#8217;s development. Chopra added that the strong investor appetite demonstrates global confidence in the financial institution&#8217;s robust credit profile, sound business model, and the overall growth trajectory of the Indian power and infrastructure landscape.</p>
<p>The high-profile issuance has been rated Baa3 by Moody’s, BBB- by Fitch, and BBB+ by CareEdge, reinforcing the market&#8217;s trust in the public sector lender&#8217;s financial stability. According to the regulatory framework, the net proceeds from this international bond sale will be deployed strategically for on-lending to vital power and infrastructure projects across the nation, as well as for general corporate purposes. This landmark transaction sets a positive precedent for other major Indian state-owned enterprises looking to optimize their borrowing costs via international markets.</p>

Srinivasa Rao, Chief General Manager (PR) of Power Finance Corporation (PFC), has superannuated after an illustrious career spanning over 30 years. To honour his long-standing dedication, PFC organized an in-house gathering where the Chairman and Managing Director (CMD), Ms. Parminder Chopra and other senior officials , felicitated Shri Rao for his exceptional contributions and unwavering commitment to the organization. In an official social media post, PFC acknowledged his professionalism as a vital driver of the company’s growth, noting that his leadership in corporate communications and public relations significantly enhanced the corporation&#8217;s public visibility and strengthened stakeholder engagement over the last three decades.</p>
<p>A highly respected figure in the media and PR fraternity, Shri Rao is widely recognized for his helpful nature and supportive approach toward journalists and corporate communication professionals alike. He began his career with the Indian Express group in Hyderabad, building a strong foundational expertise that would later define his professional journey in the national capital. For over a decade, he masterfully managed PFC’s media relations, press releases, and public affairs, earning a distinguished and special place within the industry.</p>
<p>Shri Rao’s immense contributions have also earned him stellar national recognition. He was inducted into the prestigious Hall of Fame by the Public Relations Council of India (PRCI) and has served as the Chairman of the Public Relations Society (PRSI), Delhi Chapter, where he actively guided and mentored the PR community. As he steps into a new chapter of retirement, the entire PFC family expressed deep gratitude for his lasting legacy, wishing him a future filled with good health, happiness, and fulfillment.</p>
