										<content:encoded><![CDATA[<p><strong>NEW DELHI.</strong> The Boards of Directors of Power Finance Corporation Limited (PFC) and REC Limited (REC) have approved a Scheme of Merger under the Companies Act, 2013, for the amalgamation of REC into PFC, subject to the approval of shareholders, creditors, regulatory and government authorities, and the condition that the merged entity continues to qualify as a Government Company with the Government of India retaining majority control. The proposed merger will create one of the country&#8217;s largest infrastructure financing institutions with a combined loan book exceeding Rs 11 lakh crore. As per the approved valuation report, REC shareholders will receive 88 fully paid equity shares of PFC of Rs 10 each for every 100 fully paid equity shares of REC of Rs 10 each held on the record date, which will be announced by the Boards of the two companies at a later stage.</p>

To honour his long-standing dedication, PFC organized an in-house gathering where the Chairman and Managing Director (CMD), Ms. Parminder Chopra and other senior officials , felicitated Shri Rao for his exceptional contributions and unwavering commitment to the organization. In an official social media post, PFC acknowledged his professionalism as a vital driver of the company’s growth, noting that his leadership in corporate communications and public relations significantly enhanced the corporation&#8217;s public visibility and strengthened stakeholder engagement over the last three decades.</p>
<p>A highly respected figure in the media and PR fraternity, Shri Rao is widely recognized for his helpful nature and supportive approach toward journalists and corporate communication professionals alike. He was inducted into the prestigious Hall of Fame by the Public Relations Council of India (PRCI) and has served as the Chairman of the Public Relations Society (PRSI), Delhi Chapter, where he actively guided and mentored the PR community.
