Bengaluru, 23 December 2025: In a significant development for India’s cement sector, Ambuja Cements Limited, part of the Adani Group, has received approval for two separate Schemes of Amalgamation from its Board of Directors to merge ACC Limited and Orient Cement Limited, establishing a single consolidated ‘One Cement Platform’.

This consolidation is a major step for Adani Group’s cement business, creating an integrated and stronger entity with greater scale, efficiencies, and financial strength.

1. Operational and Financial Synergies: The merger will unlock greater operational efficiencies, optimise manufacturing and logistics, and enable efficient capital deployment. These improvements will boost profitability, support capacity expansion, and enhance long-term shareholder returns.
2. Simplified Corporate Structure: The amalgamation eliminates structural duplication, reduces administrative costs, and enables faster, more agile decision-making. In addition, there will be no specific MSA required with ACC, Orient, Penna & Sanghi as these subsidiaries will become an integral part of Ambuja Cements.
3. Strong and Debt-Free Balance Sheet: This initiative aligns with Ambuja Cements’ strategic plan to increase cement production capacity from 107 MTPA to 155 MTPA by FY28, facilitating efficient capital allocation and prompt adaptation to market requirements.
4. Direct Shareholding in a Stronger Entity: This strategic amalgamation is not just a merger of companies; it is a powerful step forward for shareholders, offering direct participation in a stronger, more agile, and future-ready leader in the cement industry.
5. Enhanced Scale and Market Leadership: The proposed amalgamation brings together two of India’s most established and trusted cement brands (i.e. Ambuja & ACC) under one unified corporate structure. The ‘Adani Ambuja Cements’ & ‘Adani ACC’ brands will continue to operate as usual, with their leading product brands in respective markets.
6. Stakeholder-Centric Approach: The Scheme of Amalgamation of Sanghi Industries and Penna Cement with Ambuja are also at different stages of approval. Post approvals, all stakeholders will engage with a single, unified company.
7. Unified ESG Leadership: The merged entity will benefit from a consolidated ESG framework to accelerate renewable energy adoption, low-carbon cement solutions, and sustainable practices.

The project aims to enhance water security for the communities of Maldi and 7–8 neighbouring villages by improving the storage capacity of the Pond to 10 lakh cubic litres. This intervention is expected to help reduce water scarcity, boost agricultural productivity, and enable farmers to undertake two crop cycles, thereby strengthening local livelihoods.

The event saw the participation of district leaders, five Sarpanches, Janpad Panchayat Upadhyaksh, three Upsarpanch, company officials, and around 70 villagers, reflecting strong community support for the initiative.

Bengaluru, 3 December 2025: Ambuja Cements, the 9^th largest building materials solutions company globally, and part of the diversified Adani Portfolio, continues to strengthen rural livelihoods through its CSR initiatives. In Bhatapara, women from Self-Help Groups (SHGs) have successfully adopted turmeric cultivation as a sustainable source of income, transforming local agricultural practices and livelihoods.

The initiative began in 2022–23 with 151 SHG members from 11 villages, who received hands-on training and exposure to scientific turmeric cultivation methods. The SHGs selected the Salem variety and cultivated 4 acres using 20 quintals of seed material. With best practices such as raised-bed planting, organic manuring, and mulching, the women achieved a 3.7x increase in yield, generating over ₹2.66 lakh in their first season.

Encouraged by the success, 261 SHG women expanded turmeric cultivation to 8 acres in 2023–24. A seed bank was established to facilitate the sale and purchase of quality seeds within the community. That year, SHG members produced 10,100 kg of turmeric, generating a total market value of around ₹5.05 lakh.

In 2024–25, 313 SHG women participated in turmeric production, with improved access to organic inputs and technical guidance. Together, they now hold over 3,100 kg of turmeric seeds, including 2,100 kg earmarked for sale to support new entrants and strengthen the local value chain, with approximately 7,500 kg turmeric used for household purpose.

The integrated program, implemented across 13 villages, has empowered communities to adopt healthier practices and strengthened convergence with local health systems.

During Poshan Pakhwada (Nutrition Month), Ambuja Cements conducted nutrition demonstration sessions across all villages, reaching over 250 participants including adolescent girls and lactating mothers. Additionally, 366 home visits provided personalized guidance on maternal and child nutrition, while Anganwadi workers were trained on the Poshan Tracker app to enhance digital monitoring and planning.

To promote dietary diversity, seeds for kitchen gardens were distributed to 123 households, encouraging families to grow vegetables and herbs for improved nutrition. A health camp in Rawan village screened 34 adolescent girls for anaemia and sickle cell, offering counselling and nutritional supplements. On World No Tobacco Day, a community-wide awareness campaign reached over 600 villagers through mobile vans and interactive sessions, reinforcing preventive health practices.

Bengaluru, 24 November 2025: Ambuja Cements, the 9^th largest building materials solutions provider globally and part of the diversified Adani Portfolio, as part of its CSR efforts, is strengthening rural prosperity across Marwar Mundwa through a series of water-smart, farmer-first interventions. From farm pond construction and rooftop rainwater harvesting systems (RRWHS) to horticulture and irrigation innovation, the Company’s efforts have empowered multiple farming families to break away from climate dependency, enhance productivity, and unlock new income streams.

In Didiya Kalan, Ambuja Cements supported farming couple Bau Devi and Ganpatram with the construction of a 1,782 cubic-metre (cu m) farm pond alongside a rooftop rainwater harvesting system. With access to stored irrigation water, they now cultivate cumin during dry months and have even earned ₹15,000 by selling surplus water—moving towards year-round farming and greater economic resilience. In the same Gram Panchayat, 20 farmers have benefitted from the farm pond construction intervention, with a total of 38,147.27 cubic metres of water harvested for irrigation—strengthening the community’s path to water security and sustainable agriculture.

Similarly, in Mundwa village, Ambuja Cements enabled farmers Bhauram Ji and Pipudi Devi to overcome the challenge of saline groundwater. With a rainwater harvesting system and a 17-lakh litre farm pond built with company support, the family shifted from seasonal farming to cultivating cumin, isabgol, and cotton—boosting their income from ₹2 lakh to ₹6 lakh per year. This increase also includes savings, as they no longer need to outsource water, significantly reducing their expenses and improving water availability for drinking and agriculture.

Another transformation took place in the life of Dharmendra Mundel, who doubled his cultivation area from 15 to 30 bighas and raised his annual income to ₹15–18 lakh. Backed by Ambuja Cements, Dharmendra constructed a 2178.38 cu m . poly-lined farm pond, saving ₹2 lakh annually in irrigation costs. Complemented by efficient tools like sprinkler systems and the Pan Methi Cutter, he has become a model of sustainable, high-return agriculture.

In Rupasar village, Ambuja Cements supported farmer Jagdishram with a 12.4 lakh litre farm pond and a horticulture-based “wadi” plantation. The stored water helped him cultivate cumin across 8 bighas during the off-season, earning ₹1 lakh in added income. His newly planted orchard is projected to generate another ₹50,000 annually, creating a diversified and resilient farm economy.

She opened a boutique in Damlana Ghati, diversifying her offerings to include tailoring services, stationery, hosiery, school bags and dress materials. Today, she earns a net monthly income of ₹15,000 and provides training to young women in her community, creating a ripple effect of empowerment.

A dedicated coach has been guiding the youth over the past two years, and the Yuva Club at Darlaghat is now under registration, with 24 boys already signed up.

Ambuja Cements is extending technical guidance through ELMS Sports Foundation, while also providing lodging and boarding facilities to ensure players have the right environment to train. The programme actively promotes participation in tournaments at open, district and state levels, building confidence and competitive spirit. Recently, the Yuva Club team competed in the Sayar Fair Volleyball Tournament in Arki, where 10 teams from across Solan district participated.
