<p><b>4<sup>th</sup> March 2025, Ahmedabad: </b>Adani Wilmar Limited (AWL), one of India&#8217;s largest Food FMCG companies, renowned for its household brand ‘Fortune’, today announced the signing of a definitive agreement to acquire G.D. Foods Manufacturing (India) Private Limited (“GD Foods”). The acquisition will be executed in multiple tranches, with 80% of the shares to be acquired in the first tranche, and the remaining 20% to be acquired over the next three years. In FY’24, GD Foods achieved a revenue of INR 386 crores, growing at a 3-year CAGR of 15%, and recorded an EBITDA of INR 32 crores.<b></b></p>
<p>Aligned with our vision to cater to the kitchen needs of Indian households, this acquisition offers a strategic advantage by expanding our portfolio with a broad range of value-added food products.</p>
<p>Founded in 1984, GD Foods’ owned brand “Tops” has built a strong reputation as a household brand in North India over the last 40 years, offering high-quality products in categories spanning across tomato ketchup, snack sauce, specialty sauces &amp; culinary sauces, jams, pickles, noodles, instant mixes, corn &amp; choco flakes and cooking essentials such as vinegar, baking powder, cake mix, corn flour. Headquartered in Delhi, the Company’s sales are mainly concentrated in seven states in North India, with a retail presence across more than 150,000 outlets. It also maintains in-house manufacturing facilities at 3 locations.</p>
<p>Commenting on the acquisition, <b>Mr. Angshu Mallick, MD &amp; CEO of Adani Wilmar Limited</b>, said, “As the market evolves, there is a clear need for trusted national food FMCG brands to deliver high-quality, affordable products that fulfill the essential needs of Indian kitchens. Delivering on this requires best-in-class manufacturing operations and a broad distribution reach, both of which are key strengths of AWL. The acquisition of GD Foods aligns with our vision and will significantly enlarge AWL’s offerings to meet the evolving needs of Indian households. With 8 new product categories added to our portfolio, we are laying a strong foundation to build a formidable presence in the value-added products market over time.”</p>
<p>The “Tops” brand is amongst the top 3 players in the tomato ketchup and pickles category. We will further invest in the brand and significantly increase the distribution reach of all its products. This acquisition will lead to the significant addition of the margin-accretive products in our portfolio.</p>
<p>AWL’s strong infrastructure and brand ‘Fortune’ built over last 25 years, along with Wilmar’s deep expertise in the food industry gives us confidence that we can leverage the massive opportunity of serving every Indian household in packaged foods category.”</p>
<p><b>Mr. Nitin Seth, Vice Chairman of GD Foods commented,</b> “We are delighted to see ‘Tops’ become a part of AWL. For the past 40 years, we have remained committed to understand and meet the needs of Indian households through innovative products. Now, with AWL’s strength behind us, ‘Tops’ products will reach a much larger number of homes. <p>The acquisition is subject to meeting customary closing conditions, with the first tranche is expected to close in 60 days. The transaction will be funded by internal accruals or IPO proceeds.</p>
<p>For AWL, the transaction was supported by KPMG India Corporate Finance as financial advisor, PricewaterhouseCoopers Services LLP as the due diligence advisor, and Cyril Amarchand Mangaldas as legal counsel. For GD Foods, Equirus Capital acted as financial advisor and J Sagar Associates as legal advisor.</p>

<p>~ Expected to generate 2000 jobs through direct and indirect employment ~</p>
<p><strong>Bengaluru, 23<sup>rd </sup>January 2025:</strong> Adani Wilmar Limited, one of India&#8217;s largest Foods FMCG companies, marked a significant milestone with the commencement of operations at its integrated food processing plant in Gohana, Dist. Sonepat, State Haryana. The inauguration was celebrated with the first dispatch of 100 metric tonnes of rice.</p>
<p>This food complex is one of the largest in the country built with a capital outlay of ₹1,298 crore coming from IPO proceeds. The plant is poised to become a major economic catalyst for the region, with projections to generate 2000 jobs through direct and indirect employment.</p>
<p>Adani Wilmar’s largest greenfield project – an expansive integrated food complex – is progressing steadily, bringing vision to life: till date over, 10,000 MT of steel structure, 7,500 MT of Tor steel, and 100,000 cement bags have been utilized, marking significant milestones in this ambitious endeavor. The project required, consumed extensive engineering efforts in planning, design, and execution, laying the groundwork for a transformative infrastructure set to revolutionize food production.</p>
<p>Commenting on this landmark achievement, <strong><em>Mr. Angshu Mallick, MD &amp; CEO of Adani Wilmar Limited</em></strong>, said, &#8220;The commencement of our Gohana plant represents a significant step forward in our commitment to India&#8217;s food security and economic growth. This state-of-the-art facility exemplifies our mission to support a healthy growing nation by bringing advanced technology and world-class infrastructure to ensure citizens have access to the best quality branded staple foods. We have a central audit system which ensures quality checks. We ensure that all our specifications meet FSSAI requirements and that all our plants follow the American Institute of Bakers standard which has over 280 points on which audit is done. All our endeavors are towards delivering the best quality food products to people. Beyond enhancing our production capabilities, this plant will create substantial employment opportunities, driving socio-economic development and empowering communities to thrive.”</p>
<p>The facility, meticulously designed by Larsen &amp; Toubro Technology Services (L&amp;T), spans across 85 acres and is equipped with advanced technology to produce a comprehensive range of food products. With a total annual production capacity of 627,000 MT, the plant will manufacture 4,50,000 MT of food products including rice, wheat flour, suji, rawa, and maida, along with 2,00,000 MT of edible oils such as mustard oil, rice bran oil, and cottonseed oil, apart from Mustard DOC and Ricebran DOC for animal feed.</p>
<p><strong><em>Pawan Kumar Jaitly, Global Delivery Head-FMCG, Plant Engineering, Larsen &amp; Toubro Technology Services (LTTS), </em></strong>said, &#8220;The integrated facility demonstrates L&amp;T&#8217;s expertise in building world-class food processing infrastructure. The 85-acre plant incorporates construction technologies and sustainable design principles, setting new benchmarks in the industry. We&#8217;re proud to have delivered this project that will significantly boost India&#8217;s food processing capabilities.&#8221;</p>
<p>The integrated facility is equipped with specialized processing units crafted by global technology leaders. The Satake Corporation developed the state-of-the-art rice processing unit, ensuring top quality and efficiency, while Bühler Group designed the advanced 350 TPD wheat processing unit, including a 200 TPD whole wheat atta line, delivering superior flour production with optimal extraction and nutritional value. We’ve also partnered with Alfa Laval India, Mactek Solutions and Kirby Building Systems for advanced engineering systems and their expertise in sustainable structural designs.</p>
<p>The plant incorporates several sustainable and energy-efficient technologies to minimize its environmental impact. It will utilize biomass fuel (rice husk) and features a rainwater harvesting system compliant with Central Ground Water Board (CGWB) norms. Rooftop solar panels with a capacity to generate 5.6 MW of electricity is in the process of getting installed, along with a zero-liquid discharge system to prevent any water discharge into the local vicinity. Additionally, the plant houses a co-gen plant (steam turbine) capable of generating 3.2 MW of electricity, ensuring a balanced approach to energy generation.</p>
<p>This strategic investment aligns with Adani Wilmar&#8217;s vision of strengthening India&#8217;s food processing capabilities while contributing to local economic development. The plant&#8217;s location in Haryana&#8217;s agricultural heartland ensures ready access to raw materials while providing farmers with a direct market for their produce.</p>

<p>Launched in 2016, the Fortune SuPoshan program is an initiative of Adani Wilmar, implemented by Adani Foundation, the CSR arm of the Adani Group. The project has been making a significant impact on countless lives with its unique approach that involves active engagement with stakeholders, including gram panchayats, local governing bodies, healthcare facilities, and <em>ASHA</em> workers.</p>

<p>The program has spread its wings to over 36 locations across India since its inception across 14 states, covering 1940 villages and slums and touching the lives of over 2 million population. It has been instrumental in saving the lives of 90,000 children from malnutrition, improving the health of over 300,000 women of reproductive age, and reaching out to 120,000 adolescent girls through tailored interventions.</p>

<p><strong>Bengaluru, 11<sup>th</sup> November 2024: </strong>Adani Wilmar Limited, one of India’s largest Food &amp; FMCG companies has been recognized for its commitment to sustainability. The company’s manufacturing plants at Mundra and Hazira in the state of Gujarat have been recognized at the 10th Edition of the India Green Manufacturing Challenge (IGMC), held at ITC Maratha, Mumbai, for their contribution to upholding sustainable manufacturing practices. The Mundra facility was awarded the Gold Medal, while the Hazira plant won the Silver Medal, reflecting Adani Wilmar’s continued focus on sustainable manufacturing practices.</p>
<p>The IGMC, now in its 10th year, is a distinguished platform that celebrates outstanding achievements in manufacturing across industries. Organized by the International Research Institute for Manufacturing (IRIM), the IGMC acknowledges organizations that go beyond conventional practices to implement strategies and processes that prioritize environmental stewardship and operational efficiency.</p>

<p>Speaking on this achievement, <strong>Mr. Anghsu Mallick, MD &amp; CEO, Adani Wilmar Limited</strong> said, &#8220;We extend heartfelt thanks and gratitude to International Research Institute for Manufacturing (IRIM) for recognizing our consistent efforts in ensuring sustainable practices. At Adani Wilmar’s Mundra and Hazira plants, two of the largest edible oil facilities in the country, we are prioritizing sustainability through Zero Liquid Discharge system through our Effluent Treatment Plants (ETP) for 100% water recycling. We have also installed solar rooftops at most factories to generate renewable energy and are actively substituting coal with biomass wherever possible. As a responsible company, we are committed to sustainable practices that benefit not only the environment but also the communities where we operate.&#8221;</p>
<p>These awards are part of the <strong>National Awards for Manufacturing Competitiveness (NAMC)</strong>, instituted by International Research Institute for Manufacturing (IRIM) in 2013, to inspire organizations to undertake unique and tailored strategies to remain competitive. NAMC assesses each participant’s performance across ten indicators of manufacturing competitiveness, a comprehensive assessment that evaluates a facility’s progress towards achieving sustainable goals. As a third-party evaluator, IRIM provides an unbiased rating based on its Manufacturing Competitiveness Index, which gauges each facility’s effectiveness in developing and executing a winning strategy. This rating is achieved through a structured assessment of the manufacturing facility on 10 indicators of manufacturing competitiveness, which are building blocks behind the calculation of this index. The assessment is customized for each facility by assigning unique weightage to each of these indicators based on organization&#8217;s priorities to become more competitive.</p>
<p>The recognition of Adani Wilmar’s Mundra and Hazira plants reflects the company’s overarching commitment to sustainability, aligning with its vision to spearhead responsible manufacturing practices in India’s food and oil industry.</p>
